What We Do/Project

WBD is seeking a highly skilled and detail-oriented legal professional with substantial corporate governance experience to join our dynamic legal team. The successful candidate will play a pivotal role in managing and supporting our global tax and governance structure by overseeing the corporate governance of various executive committees within our organization.

We are seeking a seasoned legal professional to be responsible for a major initiative with global implications. This role will establish appropriate corporate governance processes and controls to ensure compliance with all legal requirements and tax regulations relevant to this initiative and will be accountable for the results of these processes and the successful governance of the overall project. The role is also responsible for facilitating effective communication with and between all relevant stakeholders, including the President - International, EVP - Head of Tax, CFO, Chief Legal Officer and other members of the WBD C-Suite.

The ideal candidate is self-motivated, able to take initiative and adept at using critical and strategic thinking coupled with their legal knowledge to solve problems and drive results.

Job Responsibilities / Typical Day in the Role

Provide corporate secretarial support and oversight of various internal committees, overseeing and coordinating the required activities and actions of such committees. Responsibilities will include:
• Schedule and organize committee meetings; ensure committee requirements, such as meeting location and frequency, are complied with and properly documented;
• Attend all committee meetings and serve as secretary of internal committees. Secretarial duties will include:
• Collect and ensure timely distribution of materials and agendas to committee members;
• Prepare and distribute committee meeting minutes in a timely manner;
• Collect and maintain documentation of decisions that have been delegated to employees outside of the committee (i.e., deal memos);
• Maintain accurate and organized records of committee meetings, decisions, and resolutions; and
• Collaborate with legal counsel to ensure that corporate actions and decisions align with legal standards and requirements.

Documentation and Record Keeping:
• Maintain accurate and organized records of committee meetings, decisions, and resolutions.
• Manage corporate records and documentation, ensuring accessibility and compliance with document retention policies.
• Produce documentation of committee actions, as requested, by tax, legal or other internal departments or external regulators.

Entity management:
• This role will also assist with managing our US subsidiaries, including maintaining corporate records, electing directors and officers, making state filings (including registrations, qualifications, annual reports, and DBAs), and drafting corporate governance documents (including formation documents, bylaws, LLC agreements, resolutions, powers of attorney, and secretary and incumbency certificates). It will also work with our third-party corporate service providers in Canada and the Caribbean to ensure local regulatory requirements are met, directors and officers are kept current, corporate records are properly maintained ,and support is provided to our accounting and tax teams.

Must Have Skills / Requirements
1) Proven experience as a paralegal or other legal professional in a large law firm or corporate legal department working on sophisticated corporate governance and tax compliance matters
2) Has comprehensive knowledge of corporate governance principles and other related areas of accountability and can lead the execution of approved plans
3) Comfortable and capable of working and communicating with senior leaders (e.g., CFO, Head of Tax, President - International)
a. Setting up meetings with execs via their EAs; Taking minutes during meetings with Execs

Nice to Have Skills / Preferred Requirements
1) Paralegal certification a plus
2) International corporate governance experience

Soft Skills:
1) Familiarity with relevant software and tools for document management and meeting coordination.
2) Excellent organizational and time-management skills with a keen attention to detail.
3) Strong written and oral communication skills and interpersonal skills, with the ability to collaborate effectively across various levels of the organization, including the C-suite
4) Proven ability to work independently, take initiative and assume ownership over tasks and deliverables.
5) Proven experience as a paralegal or other legal professional in a large law firm or corporate legal department working on sophisticated corporate governance and tax compliance matters
6) Has comprehensive knowledge of corporate governance principles and other related areas of accountability and can lead the execution of approved plans
7) Comfortable and capable of working and communicating with senior leaders (e.g., CFO, Head of Tax, Chief Legal Officer, President - International)

Technology Requirements:
1) Proficient with standard document creation and business communication software, such as Microsoft Office (Outlook, Word, Excel, PowerPoint), Adobe, Zoom, DocuSign, One Drive, Sharepoint, etc.
