Senior Counsel, Litigation and Business

POSITION PROFILE

Manages the company's commercial litigation and other legal matters, including litigation avoidance. Provides general legal advice on business legal matters affecting one or more RICOH business units and/or corporate functions, including but not limited to negotiating commercial agreements.

Job Duties and Responsibilities
  • Manages the commercial litigation portfolio, working with external counsel.
  • Working with the General Counsel and/or Vice President & Associate General Counsel, coordinates external counsel to represent company in all litigation, whether as a defendant or plaintiff, and negotiates the terms & conditions of such representation.
  • Identifies and implements litigation strategy, including, when appropriate, settlement of matters, with appropriate legal management and business leader input and approval. Assesses RICOH's exposure in various litigation matters and recommends appropriate reserves for matters as appropriate.
  • Reviews and provides feedback on pleadings and discovery responses and otherwise supervises outside counsel, providing effective case management and appropriately managing legal expenses.
  • Reviews, drafts and negotiates commercial agreements, including contracts with customers and/or suppliers/partners, including for information management; professional and maintenance services; managed services; licensing agreements; SaaS agreements; sales agreements and leases; supply agreements; and labor outsourcing agreements.
  • Provides legal advice, guidance and training to internal corporate clients on legal and risk issues arising from both the long-term strategy and the day-to-day business of the company.
  • Provides legal advice to internal corporate clients on legal issues that arise during the operation of the company related to commercial law and legal compliance.
  • Performs other duties as assigned.
QUALIFICATIONS (Education, Experience, and Certifications)

Typically Requires:
  • Requires at least 5 years of litigation experience (commercial litigation) at a large law firm and/or the law department of a major corporation.
  • Experience with restrictive covenant litigation is required.
  • Experience with intellectual property litigation is a plus.
  • Experience negotiating business contracts is a plus.
  • Requires a degree from a reputable, accredited law school & admission to the bar of at least one state.

WORKING CONDITIONS, MENTAL AND PHYSICAL DEMANDS
  • Typically, an office environment with adequate lighting and ventilation, and a normal range of temperature and noise level
  • Work assignments are diversified. Interpret, comprehend and apply complex material, data and instruction - prepare, provide and convey diversified information
  • Minimal physical effort required. Work is mostly sedentary but does require walking, standing, bending, reaching, lifting, or carrying objects that typically with less than 10 lbs. (e.g., papers, books, files and small parts, etc.). Moderate dexterity - regular application of basic skills (calculator, keyboard, hand tools, eye/hand coordination.
